  2.             Site-License Agreement

  4.      If you wish to use this software on more than one computer, a site
  5. license is required.  A site license allows you to copy and use this
  6. software within your organization on as many computers as contracted for.
  7. An unlimited site license allows unlimited copying of the software for
  8. internal use only.  This is copyrighted software and any distribution or
  9. reselling of the software to third parties is prohibited.
  10.      Visual Advantage, Inc. grants ____________________________ a site
  11. license for the use of the following software program(s): ______________.
  12.      This is a perpetual license for the use of this software within
  13. your organization, and is not transferable.  This site license allows
  14. internal use and copying of the software for use by/on _______ 
  15. user/computers.
  16.      This license is distinct from shareware use.  It does not authorize
  17. the continued use of shareware.  If, in addition to the software used
  18. under this license, shareware is in use, that shareware must be registered
  19. with Visual Advantage, Inc.
  20.      Visual Advantage, Inc. will provide technical support for one year
  21. from the date of this agreement to one person, designated as the key 
  22. contact within your company or organization.
  23.      Visual Advantage, Inc. warrants that it is the sole owner of the
  24. software and has full power and authority to grant the site license 
  25. without the consent of any other party.

  27.      VISUAL ADVANTAGE, INC. DISCLAIMS ALL WARRANTIES RELATING TO THIS SOFTWARE, 
  28. WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED 
  29. WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, 
  30. AND ALL SUCH WARRANTIES ARE EXPRESSLY AND SPECIFICALLY DISCLAIMED. 
  31. NEITHER VISUAL ADVANTAGE, INC. NOR ANYONE ELSE WHO HAS BEEN INVOLVED 
  32. IN THE CREATION, PRODUCTION, OR DELIVERY OF THIS SOFTWARE SHALL BE LIABLE 
  33. FOR ANY INDIRECT, CONSEQUENTIAL, OR INCIDENTAL DAMAGES ARISING OUT OF THE 
  34. USE OR INABILITY TO USE SUCH SOFTWARE EVEN IF VISUAL ADVANTAGE, INC. HAS 
  35. BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR CLAIMS. IN NO EVENT SHALL 
  36. VISUAL ADVANTAGE, INC.'S LIABILITY FOR ANY DAMAGES EVER EXCEED THE PRICE 
  37. PAID FOR THE LICENSE TO USE THE SOFTWARE, REGARDLESS OF THE FORM OF CLAIM. 
  38. THE PERSON USING THE SOFTWARE BEARS ALL RISK AS TO THE QUALITY AND 
  39. PERFORMANCE OF THE SOFTWARE.

  41.      Some states do not allow the exclusion of the limit of liability for 
  42. consequential or incidental damages, so the above limitation may not 
  43. apply to you.

  45.      This agreement shall be governed by the laws of the State of Kentucky 
  46. and shall inure to the benefit of Visual Advantage, Inc. and any 
  47. successors, administrators, heirs and assigns. Any action or proceeding 
  48. brought by either party against the other arising out of or related to 
  49. this agreement shall be brought only in a STATE or FEDERAL COURT of 
  50. competent jurisdiction located in Jefferson County, Kentucky. The parties 
  51. hereby consent to in personam jurisdiction of said courts.
